For this discussion, consider how the provisions of IRC Section 351 apply to a scenario, and select a strategy that addresses taxpayer concerns while yielding the best financial results for the taxpayer.
A thorough understanding of all the tax regulations that apply when forming a corporation can impact the financial benefits derived from such a move. Section 351 determines the tax consequences of the transfer of property to a corporation. Its impact on the individual and entity can differ depending on whether Section 351 applies to a given situation.
Referring to the textbook reading, select the best option for the taxpayer in the following scenario, and justify your answer.
Scenario
Amber, the sole property transferor, must acquire at least 80% of the stock issued by the new corporation in order for the transaction to qualify for tax-deferred treatment under § 351. Otherwise, she will recognize $325,000 of taxable gain as a result of the transfer. Even if the requirements of § 351 are met, any corporate debt issued by the corporation will be treated as boot and will result in at least some gain recognition to Amber. Therefore, she must evaluate the cost of recognizing gain now versus the benefit of the corporation obtaining an interest deduction later. Describe which of the following strategies you would recommend to Amber, and justify your answer:
- Have Amber transfer some property along with the services rendered to the corporation.
- Instead of having the corporation issue debt on formation, Amber should withhold certain assets. For example, she could withhold the building and let the corporation lease it.
- Have Amber not transfer the cash basis receivables to the corporation.

Restaurants offer a variety of menu items which have different sizes, ingredients, packaging, and demand. In addition, made-to-order restaurants go one step further and may have different renditions of the same menu items based on how a customer orders them. Take for example, Chipotle, for the same price, steak tacos could be “crispy†or “softâ€, may have white, brown, or no rice, may or may not contain one of three types of salsa, could have cheese or sour cream or neither, and may or may not have lettuce, black or pinto beans, or other vegetables. Profit margins in the restaurant industry are small, and operating costs are high. Good product costing is essential for survival in the business. This project option will allow you to apply your knowledge of product costing to the restaurant industry.

The imitation seeks to capture some of the epic conventions of the opening of the Iliad, and mirror their use in the way that they might be applied to a movie This doesn’t mean cramming all of a movie’s synopsis into 16 lines, though. Think about the way that the opening of the poem suggests that the origin of the conflict is Achille’s rage, but then the simplicity of that explanation encounters the difficulty of figures like Zeus, Apollo, and Agamemnon. These people are involved too, but in different ways. Then there’s the imagery that’s used to convey the nature and consequence of Achille’s rage, where different images reinforce each other—take incalculable pain/countless souls. Or the dramatic suspense that Lombardo’s translation creates when he ends a line with “…bodies to rot as feasts” and it’s not until the next line that we learn that the feast is meant for birds and dogs.
The assignment asks you to consider a movie and the way its story results from a powerful emotion that belongs to one of the characters, and to do a study on the origins and consequences of that emotion or motivation. The more you ponder the opening 16 lines, the more you’ll be able to recreate and imitate them. Try breaking the lines and sentences into constituent parts.
